1. Acceptance of Terms
By accessing or using Chyrper, you agree to these Terms of Use. If you do not agree, do not use the platform. These Terms apply to all users, including visitors, account holders, community members, community owners, moderators, creators, subscribers, buyers, sellers, and users of AI-assisted features.
1A. Eligibility and Capacity
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use paid features on Chyrper, including subscriptions, store purchases, and seller tools.
If you are under the age of majority, you may use Chyrper only with consent and supervision of a parent or legal guardian, and only to the extent permitted by applicable law.
By using Chyrper, you represent and warrant that you have the legal capacity to enter into these Terms.
2. About Chyrper
Chyrper is a platform for communities, discussion, structured debate, educational content, publishing, merchandise, subscriptions, and AI-assisted creation. Chyrper may include features such as profiles, communities, claims, counters, Deep Dives, activities, community posts, newsletters, video posts, stores, subscriptions, and AI Assistant tools.
Chyrper is not a law firm, financial advisor, medical provider, tax advisor, investment advisor, marketplace escrow service, or emergency service provider.
3. Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information when creating an account, purchasing products, managing communities, using paid features, or participating in platform activity.
You may not impersonate another person, misrepresent your affiliation, create accounts for abusive purposes, or attempt to evade moderation, suspension, payment restrictions, or platform enforcement.
4. User Content
Users may create, submit, publish, or display content on Chyrper, including posts, claims, counters, Deep Dives, comments, community materials, store listings, videos, images, audio, descriptions, newsletters, activities, and profile content.
You retain ownership of content you create, subject to the rights you grant Chyrper to operate, display, distribute, moderate, store, process, and promote that content within or in connection with the platform.
By submitting content to Chyrper, you grant Chyrper a worldwide, non-exclusive, royalty-free license to host, display, reproduce, distribute, modify for formatting, index, moderate, and otherwise use your content as necessary to operate and improve the platform.
5. Content Standards
You agree not to submit content that is unlawful, threatening, abusive, defamatory, deceptive, harassing, invasive of privacy, exploitative, spammy, malicious, infringing, or otherwise harmful to Chyrper, its users, communities, or third parties.
You are responsible for ensuring that your content does not violate intellectual property rights, privacy rights, publicity rights, contractual rights, laws, regulations, or platform rules.
6. Communities
Communities may have owners, moderators, rules, scope statements, announcements, activities, publishing tools, stores, subscriptions, and other features. Community owners and moderators are responsible for managing their communities in accordance with Chyrper rules and applicable law.
Chyrper may provide governance tools, moderation logs, ownership controls, and recovery mechanisms. Chyrper may intervene in communities when necessary for platform safety, legal compliance, continuity, abuse prevention, or enforcement of these Terms.
7. Arena Content
Claims, counters, Deep Dives, and related Arena activity are intended for structured discussion, argument, analysis, and public reasoning. Arena content may be ranked, displayed, challenged, moderated, archived, or removed according to platform rules, community rules, and product design.
Chyrper does not guarantee that Arena content is accurate, complete, fair, reliable, or suitable for any particular purpose. Users should independently evaluate information before relying on it.
8. Paid Communities, Subscriptions, and Billing
Chyrper may offer paid community subscriptions, AI Assistant plans, and other paid products.
Paid products may include recurring billing. By purchasing a recurring subscription, you authorize Chyrper and its payment processors to charge your payment method at the stated billing interval until cancellation.
Unless otherwise stated at checkout, cancellations apply to future billing periods and do not retroactively refund previously billed amounts.
Prices, plan features, limits, and availability may change. If a recurring price changes, Chyrper will provide notice as required by applicable law before the new price takes effect.
Taxes, foreign exchange fees, bank fees, and processor fees may apply and are your responsibility unless otherwise required by law.
Chyrper may use third-party payment processors, including Stripe, to process payments. By purchasing through Chyrper, you may also be subject to the applicable payment processor terms.
8A. AI Product Boundary
AI Assistant is a platform-level Chyrper subscription product and is separate from community subscriptions, community merch purchases, and community seller payouts.
AI Assistant subscriptions do not create ownership in community commerce products, do not transfer to community store balances, and are not redeemable as marketplace credit unless expressly stated by Chyrper.
9. Community Stores and Merchandise
Community stores may allow sellers to list products and merchandise. Sellers are solely responsible for product legality, listing accuracy, inventory, taxes, fulfillment, shipping, returns handling, customer support, and compliance with applicable law.
Buyers are responsible for reviewing product details, policies, pricing, shipping timelines, and seller disclosures before purchase.
Chyrper may provide checkout, order tracking, moderation, and refund-request tooling, but Chyrper is not the seller of record for community merchandise unless explicitly identified as such.
Chyrper may place holds, pause stores, restrict payouts, delay transfers, or disable store functionality where risk, compliance, abuse, payment disputes, or legal obligations require intervention.
10. Refunds and Cancellations
Refund eligibility depends on purchase type, seller terms, community refund policy at time of order, plan terms, and applicable law.
Some products and services, including digital services, active subscription periods, consumed AI usage, or completed services, may be non-refundable unless required by law.
For recurring subscriptions, cancellation generally stops future renewals and does not automatically entitle you to a refund for current or prior billing periods.
Chargebacks and payment disputes may result in temporary or permanent restrictions on account access, paid features, store activity, or payout eligibility.
11. AI-Assisted Features
Chyrper may offer AI-assisted tools for drafting, discovery, organization, media generation, audio generation, profile help, community assistance, store guidance, and related workflows. AI-generated output may be inaccurate, incomplete, or unsuitable for your intended use.
AI-assisted features are review-first tools. You are responsible for reviewing, editing, approving, and deciding whether to use AI-assisted output. Unless explicitly supported by a specific feature, AI tools do not automatically publish, submit Arena content, vote, moderate users, complete purchases, issue refunds, change inventory, or perform legal, financial, medical, or professional actions for you.
AI usage may be subject to plan limits, monthly allowances, content restrictions, provider availability, and additional safety controls.
You remain solely responsible for all content, decisions, and actions taken based on AI output. AI output does not constitute legal, financial, medical, tax, investment, compliance, or other professional advice. You must independently verify important facts and legal obligations before publishing or acting on AI-generated content.
12. Videos, Audio, Images, and Embedded Media
Chyrper may allow users to create, link, embed, display, or manage media, including images, audio, video posts, YouTube links, and other supported formats. You are responsible for having the rights necessary to use any media you submit or reference.
Chyrper may restrict unsupported media formats, unsafe links, raw embed code, malicious content, or media that violates these Terms or third-party platform rules.
13. Prohibited Conduct
You agree not to:
- Use Chyrper for unlawful, abusive, deceptive, or harmful activity.
- Attempt to access accounts, communities, data, or systems without authorization.
- Interfere with platform security, availability, payments, ranking, or moderation.
- Upload malware, scripts, spam, phishing content, or malicious links.
- Scrape, harvest, or misuse user data without permission.
- Evade bans, suspensions, payment limits, usage limits, or enforcement actions.
- Misrepresent products, subscriptions, content, identity, affiliation, or authority.
- Use AI-assisted tools to generate unlawful, infringing, deceptive, or harmful content.
14. Moderation and Enforcement
Chyrper may review, restrict, label, remove, archive, hide, suspend, terminate, or take other action against accounts, communities, content, stores, subscriptions, or platform activity that violates these Terms, community rules, payment requirements, legal obligations, or platform safety standards.
Chyrper may also preserve records, logs, or evidence when necessary for legal compliance, security, abuse prevention, dispute handling, or platform integrity.
15. Intellectual Property
Chyrper, including its name, design, features, software, interface, branding, and platform structure, is owned by Chyrper or its licensors. You may not copy, reverse engineer, resell, exploit, or misuse Chyrper’s platform materials except as permitted by these Terms or applicable law.
If you believe content on Chyrper infringes your rights, contact Chyrper with enough information to identify the content and your claimed rights.
16. Third-Party Services
Chyrper may integrate with or link to third-party services, including payment processors, hosting providers, AI providers, analytics services, video platforms, and other tools. Chyrper is not responsible for third-party services, outages, policies, actions, or content.
Your use of Chyrper is also subject to the Privacy Policy and any additional product-specific terms, checkout terms, or seller and buyer policies presented at the point of use or purchase.
17. Disclaimers
Chyrper is provided on an “as is” and “as available” basis. Chyrper does not guarantee that the platform will be uninterrupted, error-free, secure, accurate, profitable, suitable for your goals, or available at all times.
Chyrper does not guarantee visibility, rankings, community growth, subscriber growth, merchandise sales, AI output quality, debate outcomes, search placement, platform traffic, or user engagement.
18. Limitation of Liability
To the maximum extent permitted by law, Chyrper and its owners, operators, affiliates, service providers, and representatives will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, lost revenue, business interruption, reputational harm, or loss of goodwill.
To the maximum extent permitted by law, Chyrper's aggregate liability for all claims arising out of or relating to these Terms or your use of the platform will not exceed the greater of: (a) the total amount you paid to Chyrper in the 12 months before the event giving rise to the claim; or (b) USD 100.
Nothing in these Terms limits liability that cannot be limited under applicable law.
19. Indemnification
You agree to defend, indemnify, and hold harmless Chyrper and its owners, operators, affiliates, service providers, and representatives from claims, damages, liabilities, losses, costs, and expenses arising from your content, conduct, purchases, sales, community management, use of AI tools, violation of these Terms, or violation of law or third-party rights.
20. Termination
Chyrper may suspend or terminate your access to the platform at any time if you violate these Terms, create risk for the platform or other users, fail to pay required charges, misuse platform tools, or engage in conduct Chyrper determines to be harmful.
You may stop using Chyrper at any time. Certain obligations, including payment obligations, content licenses, disclaimers, limitations of liability, and indemnification provisions, may survive termination.
21. Changes to These Terms
Chyrper may update these Terms from time to time. Updates will be posted on this page with a revised effective date.
For material changes, Chyrper may provide additional notice through account, email, or in-product notification.
Continued use of Chyrper after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
21A. Governing Law and Dispute Resolution
These Terms are governed by the laws of [State or Country], without regard to conflict-of-law rules.
Any dispute arising out of or relating to these Terms or Chyrper will be resolved exclusively in the courts located in [Venue], unless applicable law requires otherwise.
Nothing in this section prevents either party from seeking injunctive or equitable relief where appropriate.
